Terms of Service

Welcome to TrueMédia Agent (TMA). These Terms of Service ("Terms") constitute a legally binding agreement between Just Immo Sàrl ("we," "our," or "us"), a company established in Switzerland, and the entity or individual ("User," "Client," or "you") accessing or using the TrueMédia Agent software and related services.
TrueMédia Agent is a product owned, developed, and distributed by Just Immo Sàrl.
By creating an account, authenticating via third-party services (such as Google OAuth), or using TMA, you agree to be bound by these Terms.
1. Scope of Services
TrueMédia Agent provides real estate professionals with customer relationship management (CRM) tools, property management tools, and automated distribution (multi-posting/syndication) of listings to external real estate portals.
2. Account Registration and Security
- Eligibility: You must be a registered business entity, self-employed real estate broker, or authorized professional to use TMA for commercial purposes.
- Credentials: When registering or signing in via third-party providers (e.g., Google OAuth), you are responsible for maintaining the confidentiality of your access credentials.
- Account Responsibility: You are fully responsible for all activities, listing uploads, and portal distributions that occur under your user accounts.
3. User Content and Portal Syndication
- Ownership of Content: You retain all intellectual property rights and ownership of the property descriptions, images, floor plans, and other media ("Client Content") that you upload to TMA.
- License to Just Immo Sàrl: You grant Just Immo Sàrl a non-exclusive, worldwide license to host, format, transmit, and syndicate your Client Content to third-party listing portals solely as directed by you.
- Content Accuracy & Compliance: You represent and warrant that all listing information is accurate, compliant with local laws, and does not infringe upon third-party copyrights or privacy rights.
4. Integration with Third-Party Services (Google APIs & Portals)
- Third-Party APIs: When you integrate TMA with third-party platforms (such as Google OAuth, Google Calendar, or external real estate portals), your use of those specific features is subject to the terms and policies of the respective providers.
- Google API Compliance: TMA's handling of Google user data adheres strictly to the Google API Services User Data Policy and our Privacy Policy.
- Portal Availability: Just Immo Sàrl ensures the transmission of listings via standard IDX/API feeds but is not liable for technical delays, feed processing times, or listing policies enforced by third-party external listing portals.
5. Infrastructure and Hosting
TrueMédia Agent is hosted on enterprise-grade cloud infrastructure provided by OVHcloud in France (European Union). While we strive to maintain high availability and performance, the service is provided on an "as is" and "as available" basis. Scheduled maintenance or unforeseen interruptions may occasionally occur.
6. Acceptable Use Policy
You agree not to use TMA to:
- Transmit fraudulent, misleading, or unauthorized property listings.
- Violate any applicable Swiss, European, or international regulations.
- Attempt to reverse-engineer, decompile, or compromise the security and infrastructure of TMA.
- Distribute malicious software, spam, or unsolicited bulk communications.
7. Intellectual Property
All software, codebase, trademarks, interfaces, visual designs, and documentation associated with TrueMédia Agent remain the exclusive property of Just Immo Sàrl. Nothing in these Terms grants you ownership rights to the TMA platform or its underlying technology.
8. Limitation of Liability
To the maximum extent permitted by Swiss law:
- Just Immo Sàrl shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, real estate commissions, or business data resulting from the use or inability to use the platform.
- Just Immo Sàrl's total aggregate liability arising out of or related to these Terms shall not exceed the total fees paid by you to Just Immo Sàrl for TMA services during the three (3) months preceding the event giving rise to liability.
9. Termination
- You may terminate your account and discontinue use of TMA at the end of any billing period according to your subscription agreement.
- Just Immo Sàrl reserves the right to suspend or terminate access immediately in the event of a material breach of these Terms, non-payment, or suspected fraudulent activity.
10. Governing Law and Jurisdiction
These Terms of Service are governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Nyon (Vaud), Switzerland.
